1. Introduction
These Terms of Service govern your use of TradeHalo services, operated by TradeHalo Ltd, a company registered in England and Wales. By registering for and using TradeHalo, you agree to be bound by these terms. If you do not agree to these terms, you must not use our service.
2. Service Description
TradeHalo provides an AI-powered phone answering service designed for tradespeople and trade businesses. Our service answers incoming calls on your behalf, takes messages, books appointments, sends SMS confirmations to your customers, and integrates with Google Calendar to manage your schedule. We offer various subscription plans ranging from Starter to Pro, with features and call limits varying by plan.
3. Account Registration
To use TradeHalo, you must be at least 18 years of age and be a UK-based tradesperson or trade business. Each business may register only one account. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must provide accurate and complete information during registration and keep your account information up to date.
4. Subscription and Payment
TradeHalo operates on a monthly subscription basis. Payments are processed securely through Stripe. Current subscription prices are displayed on our website. We offer a 7-day free trial for new customers. After the trial period, your subscription will automatically renew each month unless cancelled. If you change your subscription plan, the change takes effect immediately and billing will be prorated accordingly. We do not provide refunds for partial months of service.
5. Acceptable Use
You must use TradeHalo only for legitimate business communications related to your trade business. You must not use our service for any illegal activity, harassment, spam, or any purpose other than genuine business communications with your customers. You must not attempt to reverse-engineer our software, overload our systems, or interfere with the proper functioning of the service. We reserve the right to suspend accounts that violate these acceptable use requirements.
6. Your Data
You retain full ownership of your business data and customer data processed through TradeHalo. By using our service, you grant us a licence to process this data solely for the purpose of providing the service to you. You are responsible for ensuring you have a lawful basis to process your customers' personal data, including obtaining any necessary consents for us to contact them on your behalf.
7. AI Limitations
TradeHalo uses AI technology to provide automated phone answering and responses. While we strive for accuracy, we do not guarantee that all AI responses will be accurate or appropriate in every situation. The AI may occasionally misinterpret callers or provide responses that do not perfectly match your requirements. You should review appointment bookings made by the AI. Emergency situations should not rely solely on AI responses. We recommend that customers with genuine emergencies are directed to call 999 or appropriate emergency services.
8. Phone Numbers
We provision Twilio phone numbers on your behalf as part of the service. These phone numbers remain the property of TradeHalo Ltd and are licensed to you for use during your active subscription. Phone numbers are released 90 days after your subscription ends. Phone numbers provisioned through TradeHalo cannot be transferred to other providers or ported away from our service.
9. Service Availability
We aim to maintain 99.9% uptime for TradeHalo services, but we do not guarantee uninterrupted or error-free service. We are not liable for service interruptions caused by third-party providers including Twilio, Stripe, or Google. Where possible, we will announce scheduled maintenance in advance. However, emergency maintenance may be performed without prior notice.
10. Limitation of Liability
Our total liability to you for any claims arising from or related to your use of TradeHalo is limited to the total fees you have paid to us in the 12 months preceding the claim. We are not liable for any indirect, consequential, special, or punitive damages, including but not limited to loss of profits, loss of business, or loss of opportunity. We are not liable for missed calls, incorrect appointment bookings, AI errors, or misunderstandings in automated responses. This limitation of liability applies to the fullest extent permitted by law.
11. Termination
You may cancel your TradeHalo subscription at any time through your account billing settings. We may suspend or terminate your account if you violate these terms. Upon termination of your subscription, your access to the service ceases immediately. Your data will be retained for 30 days following termination, after which it will be permanently deleted. Your phone number will be released 90 days after subscription termination.
12. Intellectual Property
The TradeHalo name, logo, website, and software are the intellectual property of TradeHalo Ltd and are protected by copyright and trademark laws. You may not copy, modify, distribute, sell, or lease any part of our software or services. You may not reverse-engineer or attempt to extract the source code of our software.
13. Changes to Terms
We may update these Terms of Service from time to time. When we make changes, we will update the "Last updated" date at the top of this page. Your continued use of TradeHalo after any changes constitutes your acceptance of the new terms. For material changes that significantly affect your rights, we will notify you by email at least 14 days before the changes take effect.
14. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or relating to these terms or your use of TradeHalo shall be subject to the exclusive jurisdiction of the courts of England and Wales.
